These are Our Terms of Service Provision. Our Services will be supplied in accordance with these terms, which will come into effect on the date you accept a quote or otherwise request our Services.
If we supply you with telecommunications services, these additional Telecommunications Terms form part of the Agreement between us.
In these terms, any references to “we” and “our” refer to Vividly Simple Limited, and any references to “you” or “your” refer to the company requesting our Services.
Together you and we are referred to as “us”.
We will begin to deliver the Managed Services on or shortly after your acceptance of a quote or proposal and will continue to do so on a rolling monthly basis until you or we give notice to cancel.
We will provide you with one or more Managed Services, using appropriately skilled staff and suitable quality equipment. The Services are described on our website www.vividlysimple.com and may be updated from time to time.
We will provide support for our services by telephone and email between 08.30 and 17.30 weekdays excluding English Bank Holidays. Outside of these hours you can leave a recorded message with a brief description of the problem, which we will pick up the next working day.
Our charges for these Managed Services may comprise of one or more components;
All charges exclude Value Added Tax (VAT) at the applicable rate, unless otherwise stated.
We may need to adjust the charges from time to time. If we do so, we will notify you in writing at least 30 calendar days before the next invoice is due to be raised. If you are not happy with the adjusted charges, you are entitled to cancel the Managed Services with 30 days’ notice.
We may cancel one or more Managed Services at any time by giving you three months written notice, via email or post to your registered office or place of work.
If you fail to pay for the Managed Services, we may suspend or terminate the services. We may also have to cease delivery of the services if ordered to do so by a competent regulatory authority.
We ask that you do not assign or transfer rights to use the Managed Service to any Third Party without our prior consent, and that you do not use the Managed Services with any equipment other than that specified and supported.
We ask that you pay the charges within 14 days of the date of our invoice. You can pay the charges by Bank Transfer, Credit Card, Debit Card, Standing Order or Direct Debit.
You may cancel one or more Managed Services at any time by giving us notice via email to admin@vividlysimple.com or via post to our registered office. Your services will be terminated at the end of your current contracted period (i.e. one-month after the date on the last invoice you received).
We will need to ask you for Confidential Information in order to deliver the managed services, and you may have access to our confidential information when receiving the services.
We will not use your confidential information for any purpose other than delivering the managed services to you, and we ask that you do not disclose our confidential information to any other party. We or you may disclose confidential information if required to do so by law or by any competent authority.
We will keep your confidential information secure and comply with our obligations under applicable data protection legislation. We will provide you with details of all information we hold about you upon request. More information is available in our Privacy Policy.
